Deutsche Telekom France Telecom in UK Mobile Deal

BERLIN: Deutsche Telekom and France Telecom plan to merge their British cell phone units to form what would be the country's biggest mobile operator, the German company announced on Tuesday.

Deutsche Telekom said the two companies have entered exclusive negotiations on combining Deutsche Telekom's T-Mobile UK with France Telecom's Orange UK into a 50-50 joint venture.

It said the new company would have a customer base of some 28.4 mobile phone users, or about 37 percent of U.K. mobile subscribers based on December 2008 figures. The proposed deal ``is expected to create substantial value for both shareholders,'' Deutsche Telekom said in a statement.

Signing of a deal is expected at the end of October, and its completion would be subject to approval by antitrust authorities, it added.

The Bonn-based company said plans call for Deutsche Telekom to contribute T-Mobile UK to the merged firm ``on a cash-free, debt-free basis,'' including the British unit's 50 percent holding in a 3G network joint venture with Hutchison and gross tax losses carried forward of at least 1.5 billion pounds ($2.46 billion).

France Telecom would contribute Orange UK, including 1.25 billion pounds of intra-group net debt, ``in order to equalize the value of the contributions to the joint venture,'' the statement said.

Once the deal closes, Deutsche Telekom would grant a 625 million-pound shareholder loan to the joint venture, which it said would be used to reimburse 625 million pounds to France Telecom.

The joint venture would have total debt of 1.25 billion pounds, represented by shareholder loans of 625 million pounds each held by Deutsche Telekom and France Telecom, the statement said.

Telefonica to Buy Vivo Stake from Portugal Telecom

Spanish telecoms giant Telefonica said on Wednesday it had reached an agreement in principle to buy Portugal Telecom's stake in Brazilian operator Vivo in a deal reportedly worth 7.5 billion euros.

Telefonica and Portugal Telecom jointly own Vivo via investment vehicle Brasilcel, which owns 60 percent of the company.

Earlier on Wednesday the online edition of daily newspaper El Pais reported that Telefonica had increased its offer for Vivo to 7.5 billion euros (9.75 billion dollars) from 7.15 billion euros previously.

Telefonica's initial offer of 5.7 billion euros was immediately rejected by Portugal Telecom's board in May.

Telefonica then raised the offer to 6.5 billion euros and then to 7.15 billion euros last month.

The overwhelming majority of Portugal Telecom shareholders, 74 percent, voted to accept that offer but the Portugal's socialist government used its "golden share" in Portugal Telecom to block the offer.

Portuguese media reported that Lisbon may accept the latest bid as the higher offer could allow Portugal Telecom to buy a stake of between 20 and 25 percent in Oi, another Brazilian phone company.

Both Telefonica and Portugal Telecom see fast-growing Brazil as a key market as they face stagnant growth in their domestic markets.

Cellular Users in Pakistan Cross 105 Million Mark

Cellular users in the country have crossed 105 million mark in February 2011 to reach a total of 105,151,871 mobile subscription, according to the data released by Pakistan Telecommunication Authority.

PTA said that cellular teledensity in February 2011 reached 63.2 percent showing 0.8 percent growth rate in February 2011 alone.

Stats said that all five cellular companies showed consistency in adding 1,145,103 mobile phone users in February 2011, as compared to 1,229,381 cell users in January 2011.

During January and February 2011 Mobilink remained at top in terms of new sales with 705,203 new subscriptions, followed by Zong, which managed to add 703,322 mobile phone users to its network to surpass 9 million subscribers mark.

Telenor added 696,060 users in reported two months. Warid could add 176,150 new users while Ufone added only 93,750 users due to clean-up of records.

Microsoft buys Skype for $8.5 Billion Dollar

The rumors were right. Microsoft announced on May 10 that it bought Skype, an Internet communications vendor, for $8.5 billion.

Instead of trying to mash Skype into an existing Microsoft business division, the company has decided to create a new, separate Skype business division, with Skype CEO Tony Bates as the newly minted President. Bates will report directly to Microsoft CEO Steve Ballmer.

In its press release announcing the deal, Microsoft played up the potential synergies between Skype and its own communications offerings, including its Lync VOIP platform, Outlook mail, Messenger instant-messaging, Hotmail Web mail and Xbox Live gaming service.

“Skype will support Microsoft devices like Xbox and Kinect, Windows Phone and a wide array of Windows devices, and Microsoft will connect Skype users with Lync, Outlook, Xbox Live and other communities. Microsoft will continue to invest in and support Skype clients on non-Microsoft platforms,” said the release.

Microsoft offered no timetable or further details as to when and how it will make Skype available as part of any of its existing product offerings.

According to earlier reports, Microsoft was bidding against Google and Facebook for Skype. As my colleague Larry Dignan noted, the $8.5 billion Skype purchase price made for one expensive game of keepaway.

Microsoft and Skype are holding a press conference (hopefully) outlining more particulars of the deal at 11 a.m. ET. There will be a live Webcast (with no follow-up interviews permitted).

Today’s deal with Skype marks Microsoft’s largest acquisition (dollar-wise) in the history of the company. For the past couple of years, Microsoft execs seemingly had decided that Microsoft’s history of assimilating successfully its big acquisitions (aQuantive, Danger, AdECN, Bungie, etc.) was not so great, resulting in the company shying away from anything but relatively minor, targeted acquisitions.

Last night, AllThingsD reported that Microsoft dealmaker Charles Songhurst was key in helping Microsoft CEO Steve Ballmer broker the Skype deal. Interestingly, Songhurst also was credited with helping convince the Microsoft brass to call off the Yahoo acquisition.

How to Get Job in Telecom Internship?

Internships are a matter of life and death for undergraduates. I remember the people around me being worried out of their wits to somehow waste their summers at an office that looks good. On a humorous note, our telecom industry offers there are two types of internships:

Through HR
Through reference
If you have grabbed an official internship, it is still fine. They will kick you everywhere and get you working. Through a referential entry, on the other hand, you would need to build everything on your own. Talking about vendors, you are lucky if you would find someone drawing off a little time and transferring some of his/her expertise to you. Else, it is all about assimilation- self learning!

I recall my internship at a vendor maintaining MSC of a leading mobile operator. There were hardly four regular employees at that site and I always felt like falling asleep in the chilly environ poised so delicately. I was informed the very first day that I have to learn everything on my own.

The year 2009 saw the release of second edition of NED University’s telecommunication magazine ‘CommuniCat’. In the cover story an Ericsson Radio Network Design Manager was found quoting that often the interns are handed the least important tasks. However, we try to expose the intern to maximum interaction to colleagues and to maximum awareness about workplace ethics.

On the other end however, where there is a rigorous process of roll-out underway, even a two-month internship might be of much use. In such cases interns are usually hired for drive testing, site installation and nominal office tasks.

I recently had a chance of discussing the culture of internship with a leading consumer based multinational company and I could not help pondering about the way we (in telecom) carry interns through the internship course. Often they are not considered the part of Human Resource a company should mandatorily look after.

If I should take the names then at one hand where major cellular operators are known for treating an intern as a part of their HR, a few others do not really bother about the intern’s motivation level.

In early part of its roll-out phase, Qubee recruited a few final year interns to deploy its sites. They were not even given laptops from the company; one ended up losing his own, yet the company never cared.
